“Should I register a company or an LLP?” is one of the first questions new business owners bring to our Gorakhpur office. There is no single best answer — a structure that is perfect for a family shop would hold back a startup looking for investors. Here is how the four common business structures compare, and how to pick the right one for yours.
The four structures at a glance
| Proprietorship | Partnership firm | LLP | Private Limited | |
|---|---|---|---|---|
| Owners | One | 2 or more partners | 2 or more designated partners | 2 to 200 shareholders |
| Your personal liability | Unlimited | Unlimited, joint | Limited to your contribution | Limited to your shares |
| Registration | None needed | Deed; registration with the Registrar of Firms recommended | With the MCA | With the MCA |
| Income tax | Your slab rates | 30% flat | 30% flat | 22% (25.17% effective) under the concessional regime |
| Annual compliance | Lowest | Low | Moderate | Highest |
| Raising investment | Hard | Hard | Limited | Easiest |
Sole proprietorship
The simplest way to start: you and the business are legally the same person. No registration, minimal compliance, and profits are taxed at your own slab rates. The downside is unlimited liability — if the business can’t pay a debt, your personal savings and property are at risk. It suits small shops, traders and freelancers who are starting out. See our guide to every registration you need to start a business in Gorakhpur.
Partnership firm
Two or more people sharing profits under a partnership deed. It is quick and cheap to set up and common among family businesses in Gorakhpur. Registration with the Registrar of Firms in Uttar Pradesh is optional but strongly recommended — an unregistered firm cannot file a court case against a third party to enforce a contract. Partners remain personally liable for the firm’s debts. Our firm registration service drafts the deed and registers the firm, and our partnership services cover everything after.
Limited Liability Partnership (LLP)
An LLP keeps the flexibility of a partnership but adds limited liability and a separate legal identity. Compliance is lighter than a company: an annual return (Form 11) by 30 May and a statement of accounts (Form 8) by 30 October, with an audit only if turnover crosses ₹40 lakh or contribution crosses ₹25 lakh. Profits are taxed at 30%, but partners’ remuneration and interest are deductible within limits, and profit shares are tax-free in the partners’ hands. It suits professional firms and family businesses that want protection without company-level compliance. See our LLP registration service.
Private Limited Company
The structure of choice for businesses that plan to grow, borrow or bring in investors. Shareholders’ liability is limited, ownership is easy to transfer through shares, and banks, large customers and government tenders take a Pvt Ltd seriously. The concessional corporate tax rate is 22% (25.17% with surcharge and cess). In return, compliance is the heaviest: a statutory audit every year whatever the turnover, board meetings, and annual ROC filings. How to choose: four quick scenarios
- A solo trader or freelancer starting small — start as a proprietorship; convert later when the business grows.
- Family members running a shop or wholesale business — a registered partnership firm, or an LLP if you want limited liability.
- Professionals practising together — an LLP is usually the best fit.
- A startup planning to raise funds or hire widely — a Private Limited Company from day one, ideally with Startup India recognition.
Tip: Your structure isn’t permanent. A proprietorship can later become a company, and a partnership firm can convert to an LLP — but converting costs more than starting right, so plan for where you’ll be in three years, not just today.

Frequently asked questions
Which structure pays the least tax?
It depends on profit. At lower profits a proprietorship taxed at slab rates often pays least. As profits grow, a company at 22% or an LLP (where partner remuneration is deductible) usually becomes cheaper. We run the numbers for your figures before you register.
Is an LLP better than a Private Limited Company?
For professional firms and family businesses that don’t need outside investors, often yes — similar protection with lighter compliance. For raising equity funding, a Private Limited Company is the better choice.
Can one person register an LLP or a company alone?
An LLP needs at least two partners. A single founder can form a One Person Company (OPC) and still get limited liability.
